1. Definitions
“Client” means the user or customer of Refactorly’s Services.
“Refactorly” means Livijavane Ltd, a company registered in England under company number 16059049.
“Services” means any digital service provided by Refactorly, including AI-powered code generation, software refactoring, and related digital tools available on the website.
“Credits” means virtual units purchased by the Client, which are consumed upon usage of the Services.
“Account” means the registered account created by the Client on Refactorly’s platform.
“User Content” means any data or material submitted by the Client while using the Services.
2. Acceptance of Terms
By accessing or using the Services, the Client agrees to comply with and be legally bound by these Terms of Use. If the Client does not agree to these Terms, they must not use the Services.
3. Use of Services
Clients must be at least 18 years old to use the Services. Clients agree to use the Services only for lawful purposes and in compliance with applicable UK laws. The Client is solely responsible for testing, reviewing, and validating all AI-generated code before use in any production environment. Refactorly makes no warranties regarding the functionality, security, or absence of errors in the generated code. Automated or abusive usage may result in suspension or termination of the account.
4. Credits and Payments
All Services are accessed via a credit system. Credits are sold in bundles and are non-refundable once purchased. Prices are displayed in the Client’s selected currency and may be subject to change. The Client is responsible for verifying price and currency before purchase.
5. Security and Confidentiality
Refactorly implements industry-standard security measures to protect User Content. However, the Client acknowledges that data transmission over the internet is inherently risky, and Refactorly cannot guarantee absolute security. Clients should avoid submitting highly sensitive or proprietary information that has not been adequately protected or obfuscated.
6. Intellectual Property
All content, technology, and intellectual property related to the Services remain the property of Refactorly. The Client retains ownership of any original content submitted, but grants Refactorly a limited licence to use it solely for the purpose of delivering the Services.
The limited license granted to Refactorly includes the right to use the User Content to deliver, maintain, and improve the Services, which may include training the underlying machine learning models. Refactorly will not claim ownership over the Client’s proprietary code but may use usage patterns and anonymized data for service enhancement.
7. Service Availability and Limitation
Refactorly strives to ensure that Services are available at all times but does not guarantee uninterrupted access. Service interruptions may occur due to maintenance, upgrades, or technical issues.
8. Disclaimer of Warranties
The Services are provided ‘as is’ and ‘as available’ without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Refactorly does not warrant that the Services will meet the Client’s requirements or operate in an uninterrupted or error-free manner
9. Liability
Refactorly shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of data, profit, or business opportunity. Total liability shall not exceed the amount paid by the Client in the previous 12 months.
10. Account Termination
Refactorly reserves the right to suspend or terminate any account that violates these Terms, engages in illegal activities, or misuses the Services. Clients may also close their accounts at any time via their dashboard.
11. Data Protection and Privacy
Refactorly processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Please refer to our Privacy Policy for detailed information on data handling and your rights.
12. Modifications
Refactorly may update these Terms from time to time. Clients will be notified of any material changes. Continued use of the Services after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England & Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
